Terms & Conditions

These Terms & Conditions govern all engagements between Warisan Studio ("we", "us", "our") and clients who engage our services. Warisan Studio is operated from 47 Jalan Pryer, 90000 Sandakan, Sabah, Malaysia.
1. Definitions
- "Service" — any of the three services offered by Warisan Studio: Record Digitisation Support, Booking Enquiry Desk, and Staff Session.
- "Client" or "You" — the business or individual engaging Warisan Studio for a Service.
- "We / Us / Our" — Warisan Studio.
- "Scope Note" — the written document produced before each engagement, specifying the work, deliverable, price, and tools involved.
- "Agreement" — these Terms & Conditions together with the signed Scope Note for each engagement.
2. Acceptance of Terms
By signing a Scope Note or by using this website to submit an enquiry, you confirm that you have read and agree to these Terms & Conditions. You also confirm that you are at least 18 years of age and that you have the authority to bind the business you represent to these terms.
3. Service Description and Availability
Warisan Studio provides three AI integration services for small businesses:
- Record Digitisation Support — scanning, AI indexing, and condition reporting on a defined batch of paper documents. Priced at RM 128 per batch.
- Booking Enquiry Desk — setup and configuration of a multilingual AI booking assistant for tour operators, homestays, and workshops. Priced at RM 425 per setup.
- Staff Session — a three-hour on-site training session covering AI tools, data privacy under PDPA 2010, and guest interaction guidance. Priced at RM 596 per session for up to 12 staff.
Services are primarily available to businesses located in Sandakan and the wider Sabah region. Requests from outside this area are considered on a case-by-case basis.
4. Scope and Changes
Each engagement begins with a written Scope Note that defines the work, deliverable, price, and tools to be used. No work begins until the Scope Note is agreed in writing by both parties.
Any changes to the scope after the Scope Note is signed must be agreed in writing before the additional work is carried out. We will not proceed with out-of-scope work without a revised or supplementary Scope Note.
5. Client Responsibilities
- Provide accurate information during the engagement, including the documents, business details, or training materials required.
- Ensure that any documents or information provided to us may lawfully be shared with us for the purposes of the engagement.
- Arrange access to your premises for on-site services (Staff Sessions) at the agreed time.
- Review delivered work and raise any concerns within 14 calendar days of receiving the deliverable.
- Not enter sensitive third-party customer data into any AI tool without understanding the relevant data handling policies — a matter addressed directly in the Staff Session.
6. Intellectual Property
All training materials, checklists, session notes, and methodology documents produced by Warisan Studio remain our intellectual property. You are granted a non-exclusive licence to use them within your business.
Documents and information you provide to us during an engagement remain your property. We retain only the right to process them for the purpose of the engagement, and only for the duration necessary to deliver the agreed scope.
7. Payment Terms
All prices are quoted and invoiced in Malaysian Ringgit (RM). Payment is due within 14 calendar days of invoice unless otherwise stated in the Scope Note. We accept bank transfer and other payment methods confirmed in the Scope Note.
Refund policy: If we are unable to complete the agreed scope, we will refund the portion of the fee corresponding to the undelivered work. We do not offer refunds where the work has been delivered in accordance with the agreed Scope Note. If you are dissatisfied with a delivered service, please contact us within 14 days so we can discuss the matter.
8. Confidentiality
We treat all client information as confidential. We do not share your business information, documents, or materials with third parties except where required by the engagement (for example, where a specific AI tool processes document data) or where required by Malaysian law.
We will disclose the tools used in each engagement before work begins. Where we have concerns about a tool's suitability for your information, we will raise them with you before proceeding.
9. Disclaimers
Our services are provided with reasonable skill and care. However, we do not warrant that:
- AI-generated document indices will be free of errors, particularly where source documents are in poor condition
- The booking desk will handle all possible enquiry types without error
- Staff training will prevent all instances of incorrect AI tool use
We are not a legal firm and nothing in our services constitutes legal advice. Our Staff Sessions reference PDPA 2010 in general terms and are not a substitute for legal counsel on data protection matters.
10. Limitation of Liability
Our total liability to you in connection with any engagement will not exceed the fee paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses arising from our services, including but not limited to loss of business, loss of data, or loss of revenue.
We are not liable for issues arising from the data policies or service interruptions of third-party AI tools, provided we disclosed the use of those tools before the engagement began.
11. Indemnification
You agree to indemnify Warisan Studio against any claims, losses, or costs arising from your use of our services in a manner inconsistent with these Terms, or from information you provided to us that was inaccurate, unlawfully shared, or submitted without proper authority.
12. Termination
Either party may terminate an engagement before delivery by giving written notice. If you terminate after work has begun, you will be invoiced for the portion of work completed to the date of notice. If we terminate, we will refund any unearned portion of the fee paid.
Termination does not affect any clauses that by their nature survive termination, including confidentiality, intellectual property, limitation of liability, and dispute resolution.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through direct discussion within 30 days of the dispute arising. If resolution is not reached, the matter will be referred to mediation before any court proceedings are initiated.
The courts of Sabah, Malaysia will have jurisdiction over any dispute that cannot be resolved through discussion or mediation.
14. General Provisions
- Entire Agreement: These Terms and the signed Scope Note constitute the full agreement between the parties for each engagement.
- Severability: If any clause is found to be unenforceable, the remainder of these Terms continues in effect.
- No Waiver: Failure to enforce any clause does not constitute a waiver of the right to enforce it in future.
- Notices: Formal notices should be sent to [email protected] or to our registered address.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Engagements already in progress at the time of a change are governed by the Terms in effect when the Scope Note was signed.
